July 1, 2005- HorizonPCS close merger with iPCS
On July 1, 2005, iPCS completed a merger with Horizon PCS, Inc., pursuant to the terms of an Agreement and Plan of Merger (the “Merger Agreement”), dated as of March 17, 2005, by and between iPCS and Horizon PCS. Pursuant to the Merger Agreement, Horizon PCS, in a tax-free, stock-for-stock transaction, merged with and into iPCS, with iPCS surviving. Horizon PCS stockholders received 0.7725 shares of iPCS common stock for each share of Horizon PCS common stock.
